Terms of Service

The terms governing your use of Ciev.ai.

These Terms of Service ("Terms") are a binding agreement between you (and, if you're using Ciev.ai on behalf of an organization, that organization) and Saasflux Technologies LLP, a limited liability partnership registered in India ("Saasflux", "Ciev.ai", "we", "us"), governing your use of the Ciev.ai web app, API, and MCP server (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. What Ciev.ai does

Ciev.ai ingests recordings of meetings that you or your organization provide (upload, or connect via Zoom/Google Meet/Microsoft Teams), and produces a searchable, citation-grounded representation of them — transcript, on-screen content, and summaries — accessible through the web app, our API, and an MCP server for coding agents. For interview-track customers, it additionally produces AI-generated candidate coaching reports from interview recordings. See our Privacy Policy for how we handle the resulting data.

2. Accounts & eligibility

• You must be at least 18 and able to form a binding contract to use the Service.
• You're responsible for the accuracy of your account information and for safeguarding your credentials, session, and any API keys you generate — activity under your account is your responsibility.
• If you're using Ciev.ai on behalf of an organization, you confirm you're authorized to bind that organization to these Terms, and that organization's admin(s) control seats, billing, and access for its members.

3. Your responsibility for recording consent

You further represent that any content you ingest doesn't violate a third party's intellectual property, confidentiality, or privacy rights, and doesn't contain content you don't have the right to share with us.

4. Your content, our license to it

• You (or your organization) retain all ownership rights in the recordings, transcripts, and any other content you provide or that's derived from it ("Customer Content"). We don't claim ownership over it.
• You grant us a limited, non-exclusive license to host, process, transcribe, analyze, index, and display Customer Content solely to provide and improve the Service for you.
• We do not use Customer Content to train AI models outside of producing your own organization's search index, reports, and derived artifacts.
• You can delete sources or, per our Privacy Policy §7, request full account deletion at any time.

5. Acceptable use

You agree not to:

• Use the Service to ingest recordings you don't have the right to process, or in a way that violates any applicable law.
• Attempt to access another organization's data, bypass access controls, or share your account/API key/session credentials outside your organization.
• Reverse-engineer, scrape, or excessively burden the Service outside normal API/MCP use, or resell the Service without our written agreement.
• Upload malicious code or attempt to disrupt the Service's availability or security.

We may suspend or terminate accounts that violate this section.

6. Connected agents & MCP

If you connect a coding agent (Claude or any other MCP-compatible client) to Ciev.ai, you're authorizing that agent to retrieve content from your organization's index on your behalf, within your account's access. You're responsible for what you connect and for that agent's use of retrieved content once outside Ciev.ai — see Privacy Policy §4.

7. Subscriptions, billing & free tier

• Ciev.ai offers a free ("Starter") tier and paid tiers with higher ingestion, seat, and retention limits, as described on our pricing page at the time of purchase.
• Paid subscriptions are billed through Dodo Payments, our merchant of record, and renew automatically each billing period unless cancelled beforehand through the billing portal.
• Fees are non-refundable except where required by law or expressly stated at purchase.
• We may change tier pricing or limits prospectively, with notice to affected organizations before it takes effect for their next billing period.

8. Third-party integrations

The Service integrates with third-party platforms you choose to connect — Zoom, Google Meet, Microsoft Teams, MCP clients, and (for opted-in organizations) enterprise search tools like Glean. We're not responsible for the availability, accuracy, or conduct of these third-party services, which are governed by their own terms.

9. Intellectual property

Aside from your Customer Content, the Service — including its software, design, documentation, and the Ciev.ai name and marks — is owned by Saasflux Technologies LLP or its licensors. These Terms don't grant you any rights to our intellectual property beyond what's needed to use the Service as intended.

10. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service with reasonable care, and use it only to perform under these Terms — except information that's publicly available, independently developed, or required to be disclosed by law.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated transcripts, summaries, captions, and interview reports can contain errors — they're an aid, not a certified or verified record, and you're responsible for verifying anything you rely on before acting on it.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAASFLUX TECHNOLOGIES LLP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR ₹0 IF YOU'RE ON THE FREE TIER). Nothing in these Terms limits liability that can't be limited under applicable Indian law.

13. Indemnification

You agree to indemnify and hold Saasflux Technologies LLP harmless from claims arising from your breach of these Terms, your Customer Content, or your (or your organization's) violation of applicable law — including, per §3, any failure to obtain required recording consent.

14. Termination

• You can stop using the Service and request account/data deletion at any time (Privacy Policy §7).
• We may suspend or terminate your access for breach of these Terms, non-payment, or if required by law, with notice where practicable.
• Sections that by their nature should survive termination (ownership, confidentiality, disclaimers, liability limits, indemnification, governing law) will survive.

15. Changes to these Terms

We may update these Terms from time to time. We'll update the "Effective" date above, and for material changes, notify organization admins by email before they take effect. Continuing to use the Service after that constitutes acceptance.

16. Governing law & disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts in Delhi, India.

17. Miscellaneous

• If any provision of these Terms is found unenforceable, the rest remain in effect.
• These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service, superseding prior agreements on the same subject.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Neither party is liable for delays caused by events outside its reasonable control.
